Before we talk, a standard NDA

NextBestMoveDigital works with proprietary methods, and in a first conversation we often share some of them to show you exactly how we would help. A standard confidentiality agreement protects both sides so that conversation can be open, specific, and useful. You get a copy, we keep a copy, and we are both ready when the appointment starts.

After that, you will tell us what you would love to talk about, and we will build the right length appointment and agenda around it.

Mutual Confidentiality Agreement

This Mutual Confidentiality Agreement is entered into between NextBestMoveDigital, a division of Lizzy Morris Empowerment Inc, referred to as NBMD, and the individual or business signing below, referred to as the Other Party.

1. Purpose

NBMD and the Other Party wish to explore a possible working relationship. In the course of that conversation, either party may share proprietary methods, strategies, business information, pricing, or systems that are not public. This Agreement protects both sides so that conversation can be open and useful.

2. Confidential Information

Confidential Information means any business, technical, financial, or strategic information disclosed by either party, whether spoken, written, or shown, that a reasonable person would understand to be proprietary given the nature of the information and the circumstances of disclosure.

3. Obligations

Each party agrees to use the other party's Confidential Information only to evaluate and pursue a possible working relationship, to keep it confidential, and not to disclose it to any third party without written consent, for a period of two years from the date above.

4. Exclusions

Confidential Information does not include information that is already public through no fault of the receiving party, was already known to the receiving party before disclosure, or is independently developed without use of the disclosed information.

5. No License

Nothing in this Agreement grants either party any ownership, license, or right in the other party's Confidential Information beyond what is needed to evaluate the possible working relationship.

6. Return or Destruction

Upon request, each party will return or destroy the other party's Confidential Information, except for one archival copy kept for legal record.

7. Governing Law

This Agreement is governed by the laws of the State of Texas.
